Terms of service
What you are buying, what we owe you, and what happens if either side wants out.
This document is a starting point written for clarity, not a substitute for legal review. Have a lawyer adapt it to your business before you rely on it.
The licence
Yellowix Technologies grants you a perpetual licence to use Cartix Desktop in one shop, on the number of billing counters you have paid for. The licence is bought once and does not expire. Perpetual here means the licence itself does not end; it is not a promise of updates or support for any particular length of time, which is what the AMC below covers.
The first year of annual maintenance is included in the licence fee. Additional billing counters are also bought once and carry no maintenance fee of their own.
Cartix Watch is a separate monthly subscription you can stop at the end of any month. The Cartix mobile apps are live for your shop while your AMC is active; a shop using them on their own, with no desktop licence, takes a separate mobile licence.
You may not resell, sublicense or redistribute the software, and you may not attempt to bypass the licensing mechanism.
Annual maintenance (AMC)
The AMC is ₹4,999 a year and covers cloud sync, cloud backup, the online store, live access for the Cartix mobile apps, feature updates, and support. The first year is included with the licence; it is yours to renew or not after that.
If the AMC lapses, those services stop and the mobile apps become read-only. Billing, stock, purchases, GST reports, printing and local backups continue to work on your own machine, with the features the software had at that point, and your data is not deleted. Renewing restores the services.
We may revise the AMC fee no more than once in any twelve-month period, and by no more than 10% at each revision. A revision applies from your next renewal and never in the middle of a period you have already paid for.
Updates needed to keep Cartix compliant with statutory changes — GST rates, return formats and the like — are provided to every licensed shop, whether or not an AMC is active.
The online store is subject to fair use: up to 2,000 products and 500 orders a month. We will talk to you before any limit affects your shop.
Your data
Everything you enter into Cartix belongs to you. We do not claim any ownership of it and we do not use it for any purpose other than running the service you have paid for.
You can export your data at any time, and take a local backup file whenever you want. If your AMC lapses, billing carries on and your data is not deleted, moved or held hostage — the cloud copy simply stops being updated.
Support and updates
Support is provided by phone, WhatsApp and remote screen access during 10:00 AM – 6:00 PM while your AMC is active. We aim to respond quickly, but we do not commit to a formal service level agreement at this price.
Feature updates are included while your AMC is active and install automatically. We will not knowingly ship an update that destroys your data, and every update keeps a restorable copy before it makes structural changes.
What Cartix does not do
Cartix helps you produce GST-compliant documents and summaries. It does not file your returns and it is not tax advice — you and your accountant remain responsible for what you file.
Cartix does not replace statutory registers or licences that your trade requires you to maintain. Pharmacies in particular should confirm their obligations with the relevant authority.
Payment
Licence and AMC fees are payable in advance. The price shown is the total payable and no tax is added at checkout. The licence fee is one time and is not refundable once the licence has been activated. Prices may change for new licences at any time; a change never affects a licence already bought, and AMC revisions are capped as described above.
Liability
We build carefully and test on a live shop, but software can still fail. Our liability for any claim relating to Cartix is limited to the total amount you have paid us for the shop concerned in the twelve months before the claim arose.
We are not liable for indirect losses such as lost profit or lost business. This does not limit any liability that cannot be limited under Indian law.
Ending the agreement
You can stop using Cartix at any time. We can end a licence if it is being used in breach of these terms, and where we do, we will give you a reasonable opportunity to export your data first.
These terms are governed by Indian law, with courts in Kerala having jurisdiction.
